Vendor Enrollment and Agreement
This Vendor Agreement defines the terms and conditions under which independent vendors and contractors may provide services to PrimeLine Property Services. This Agreement is intended to ensure transparency, quality service delivery and a professional working relationship.
By submitting a vendor application, accepting service assignments or performing services, Vendor agrees to comply with the terms of this Agreement.
By submitting a technician application, accepting service assignments or performing services for PrimeLine Property Services, you acknowledge and agree to the terms of this Agreement.
Independent Contractor Relationship
Vendor operates as an independent contractor and not as an employee, agent, joint venturer, or partner of PrimeLine Property Services. Nothing in this Agreement shall be interpreted to create an employment relationship. Vendor is solely responsible for business operations, taxes and tax filings, Licensing and permits, Insurance coverage, Tools, equipment and workforce.
Licensing, Insurance and Compliance
Vendor must maintain all licenses, certifications, permits, and insurance required under local, state, and federal laws, including general liability and workers’ compensation where applicable. PrimeLine Property Services may request proof of compliance at any time. Failure to maintain valid documentation may result in suspension or termination.
Scope of Services and Assignments
Service requests may be offered to Vendor based on availability, service area, expertise, and performance history. Vendor retains the right to accept or decline any assignment. Acceptance of a job constitutes confirmation that Vendor can perform the work safely, professionally and in compliance with all applicable laws and property rules.
Performance Standards
Vendor agrees to perform all services in accordance with industry best practices, Applicable safety standards, Property specific rules, Professional conduct expectations, Vendor must ensure timely arrival, proper communication and professional representation when interacting with clients or tenants.
Pricing, Invoicing and Payment
Pricing may be agreed upon per job, per project, or under negotiated rate structures. Payments will be issued after job completion, Work verification, Client or property manager confirmation. PrimeLine Property Services is not responsible for Vendor expenses unless expressly approved in writing in advance.
Legal Compliance and Conduct
Vendor must comply with all applicable laws, regulations, safety requirements and Company policies. Any misconduct, misrepresentation, unsafe behavior or policy violations may result in immediate removal from the vendor network.
Indemnification and Liability
Vendor assumes full responsibility for its work and agrees to indemnify, defend, and hold harmless PrimeLine Property Services from any claims, damages, losses, liabilities, or expenses arising from vendor services, Negligence or misconduct and violation of laws or policies.
Confidentiality
Vendor may have access to confidential client information, property data, pricing or business processes. Vendor agrees to keep all such information confidential and use it solely for service delivery.
Non-Exclusivity
This Agreement is non-exclusive. Vendor may provide services to other clients and PrimeLine Property Services may engage other vendors for similar services.
Termination
PrimeLine Property Services may suspend or terminate Vendor participation at any time due to performance concerns, policy violations or business needs. Vendor may discontinue participation by providing written notice.
Agreement Modifications
PrimeLine Property Services reserves the right to update or modify this Agreement at any time. Continued participation after updates constitutes acceptance of revised terms.
Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the United States and the applicable state of operation, without regard to conflict of law principles.
